摘   要

 股东派生诉讼又称股东代位诉讼，是当公司怠于向它的致害人追究责任时，符合条件的股东可以自己的名义向法院提起诉讼，从而通过维护公司整体利益来间接地维护保障其自身利益不受侵害，是中小股东维护其弱小益的重要救济手段。本文从其概念，诉讼当事人，相关程序如前置程序、管辖、股东代表诉讼诉讼费用担保制度、股东代表诉讼费用的承担及和解等方面对其进行了探讨。

Abstract
Shareholder derivative action, also known as shareholder derivative litigation, is when the company lazy to its virulence to account, the eligible shareholders in their own name to the courts, thereby safeguarding the overall interests of the company to indirectly safeguard to protect its own interests are not infringed, the minority shareholders interests to maintain its small important remedy.
